Sale of shares to Silverfleet Capital
Prefere Resins is one of the leading European resins producers active in the development, production and distribution of phenolic resins. The products are used in numerous applications including the construction, insulation, engineering and automotive industries.
The Company is headquartered in Erkner near Berlin and operates further subsidiaries in Austria, France, UK, Poland, Romania, as well as two locations in Finland. In 2017, the Company generated revenues of € 222 million with 320 employees.
capiton acquired a majority share in Prefere Resins Group during a carve-out of the European phenolic resins activities from Nordic chemicals group Dynea in January 2014.
In 2016, capiton refinanced the business. As part of that transaction, Intermediate Capital Group (“ICG”) acquired a minority stake in the Company and management increased its share. With the transaction that has now been signed, capiton and ICG will dispose all of their shares in Prefere Resins Group. Closing of the transaction is subject to customary closing conditions. The Parties have agreed not to disclose further details of the transaction. capiton was advised by Alantra (M&A, Debt Advisory), Sidley Austin and BMH Braeutigam & Partner (legal), Deloitte (commercial & financial), EY (tax) as well as ERM (environmental).
